Terms of Service
These Terms of Service ("Terms") govern your access to and use of the UseWhat platform and related services, operated by Cogvex Solutions Private Limited ("UseWhat", "we", "us", "our"). Please read them carefully.
By accessing or using UseWhat, you agree to be bound by these Terms.
Acceptance of terms
By creating an account or using the service, you confirm that you accept these Terms and that you have the authority to bind your organization to them.
Use of the service
We grant you a limited, non-exclusive, non-transferable right to use the service for your business, subject to these Terms and your subscription plan.
Accounts and responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
Compliance with WhatsApp and Meta policies
UseWhat connects your business to the WhatsApp Business Platform and other Meta APIs. When you use the service you must comply, and you authorise us to act on your behalf in compliance, with the WhatsApp Business Solution Terms, the WhatsApp Business Messaging Policy, and the Meta Platform Terms and Developer Policies, each as updated from time to time.
You must not use the service in any way that would cause us or you to breach those policies. We may modify, suspend, or discontinue features to remain compliant with Meta and WhatsApp requirements.
You obtain each customer's opt-in before any marketing message is sent to them on WhatsApp, in a form that names your business and states that the person agrees to receive messages from you, and you honour every STOP.
End-customer consent and acceptable use
You are solely responsible for obtaining and maintaining valid opt-in consent from your end customers before messaging them on WhatsApp through the service, for keeping proof of that consent, and for honouring opt-out requests. That consent and the underlying customer relationship belong to you.
You agree not to use the service to send unlawful, deceptive, harassing, or unsolicited (spam) messages, to infringe the rights of others, or to violate any WhatsApp or Meta policy or applicable law. We may suspend or terminate accounts that violate these rules or that generate excessive user blocks or spam reports.
Your data and privacy
Our handling of personal data is described in our Privacy Policy. As between you and us, you are the controller of your end customers' personal data and we process it as your processor, on your instructions, to provide the service. You are responsible for having a lawful basis and your own privacy notice for the data you process through UseWhat.
Third-party integrations you connect
You may connect third-party services to your account, such as your e-commerce platform, a hosted checkout provider (for example GoKwik, Shiprocket fastrr or Razorpay Magic Checkout), payment or logistics providers. You configure those connections yourself in the third party's own dashboard, including any webhook that sends data to UseWhat.
You confirm that you are entitled to share the data those services send to UseWhat, and you remain bound by the third party's terms. UseWhat does not hold your credentials for those services, does not call their APIs on your behalf unless you expressly connect an integration that says so, and processes what they send as your data processor under the Data Processing Terms.
Payment and subscriptions
Paid plans are billed in advance on a recurring basis. Fees are non-refundable except as described in our Refund Policy or as required by law. You authorize us to charge your selected payment method for applicable fees.
WhatsApp messaging fees
Our fees cover the UseWhat platform only. Charges for WhatsApp messaging, including templates, campaigns and replies sent by the service on your behalf, are billed by Meta directly to your WhatsApp Business account at Meta's published rates. We do not resell WhatsApp messaging and add nothing to Meta's charges.
You are responsible for keeping a valid payment method on your WhatsApp Business account with Meta. If you do not, Meta may stop delivering your messages, including replies sent by the service.
Meta sets, and may change at any time, its rates and any free allowances. We do not control them and are not responsible for Meta's charges.
Termination
You may cancel your subscription at any time. We may suspend or terminate your access for violation of these Terms or non-payment. Upon termination, your right to use the service ends, and you may request deletion of your data as described in our Privacy Policy.
Indemnity
You will indemnify UseWhat against claims, fines and costs arising from your breach of the sections "Compliance with WhatsApp and Meta policies", "End-customer consent and acceptable use" or "Third-party integrations you connect", including messages sent without the required opt-in and data shared without authority.
Limitation of liability
To the maximum extent permitted by law, UseWhat is not liable for indirect, incidental, or consequential damages, and our total liability is limited to the fees you paid in the twelve months preceding the claim.
Changes to these terms
We may update these Terms from time to time. We will notify you of material changes, and your continued use of the service after changes take effect constitutes acceptance.
